RCS MediaGroup: Shareholders’ Meeting and Board of Directors

Ordinary and Extraordinary Shareholders’ Meeting:

• Pietro Scott Jovane confirmed as Director of the Company

• BoD’s proposal concerning the postponement of measures pursuant to article 2446 of the Italian Civil Code approved

Board of Directors:

• Pietro Scott Jovane confirmed as Chief Executive Officer of the Company

• Advisory Commitee constituted

Milan, 16 October 2012 – The Ordinary and Extraordinary Shareholders’ Meeting of RCS MediaGroup met today under the chairmanship of Angelo Provasoli and confirmed Pietro Scott Jovane as Director of the Company, following and in coherence with the Board of Directors’ previous decision. The Shareholders’ Meeting – in extraordinary session – approved the Board of Directors’ proposal concerning measures pursuant to article 2446 of the Italian Civil Code referring the Company’s Balance Sheet at June 30, 2012. The Shareholders’ Meeting resolved to postpone the adoption of those measures to a date to be proposed by the Board of Directors, in connection to the Development Plan’s approval and pursuing to art. 2446 of the Italian Civil Code, comma 2.

The Board of Directors met afterwards under the chairmanship of Angelo Provasoli and unanimously confirmed Pietro Scott Jovane as Chief Executive Officer of the Company. The CEO then illustrated the assumptions that will drive the Development Plan, which will be presented to the market before the end of the year. Eventually the Board of Directors constituted an Advisory Committee in charge of supporting the Board for strategic evaluation. The Committee’s members are Giuseppe Rotelli (Chairman), Andrea Campanini Bonomi and Luca Garavoglia.
