Press Release: Filing of documentation
Milano, 15 April 2026 – RCS MediaGroup S.p.A. informs that, with regard to the Shareholders’ Meeting convened for 7 May 2026, the following documentation has been filed and made available at the Company’s registered office in Milan, Via Angelo Rizzoli n. 8 and published on the Company’s website www.rcsmediagroup.it (Section Governance/Shareholders’ Meeting 2026):
– the Annual Financial Report at 31 December 2025, ESEF and pdf format (including the draft of Annual Financial Statement and Consolidated Financial Statement at 31 December 2025 with the related Directors’ Report on operations, including the consolidated sustainability reporting, the required statements, the Report of the Independent Auditors and the Report of the Board of the Statutory Auditors);
– the Report on Corporate Governance and Ownership Structures for the financial year 2025;
– the Report on remuneration policy and compensation paid, drafted pursuant to Article 123-ter of the Legislative Decree n. 58;
– the Board of Directors’ report on the authorization to purchase and dispose of treasury shares, drafted pursuant to Article 73 of the Regulation adopted by Consob resolution No. 11971/99, to be discussed as item no. 3 of the Agenda (ordinary session).
The above-mentioned documentation is also available on Borsa Italiana S.p.A. website (www.borsaitaliana.it) and on the authorized storage SDIR & STORAGE website (www.emarketstorage.com).
Within the due terms, the documentation referred to in Article 77, paragraph 2-bis of Consob Regulation no. 11971/99 (“Issuers Regulation”) will be available to the public at the Company’s registered office.
